This position is based in Washington, D.C. All staff currently work a hybrid schedule.
Summary
Opportunity Finance Network is looking to fill the position of Senior Vice President, Associate General Counsel – Corporate (“AGCC”). This position will play a key role in helping this multifaceted organization achieve its mission by serving as legal counsel for corporate and transactional matters involving OFN’s trade association, membership group, and Community Development Financial Institution (CDFI) functions. The AGCC will serve as a key member of OFN’s Office of General Counsel and will be responsible for providing expert legal counsel and leadership on a wide range of corporate, transactional and governance matters. This role requires an experienced legal professional with a strong interest in OFN’s mission and a deep understanding of the transactional needs of corporate entities in the non-profit or financial services industry .
Responsibilities
- Serve as a trusted adviser to the General Counsel and broader OFN team on a wide range of complex legal matters.
- Provide guidance and support to other departments on legal, compliance, and governance-related matters.
- Collaborate with team members to develop and implement legal and compliance initiatives that support OFN’s capital programs, and financial services that promote community development.
- As appropriate, consult, supervise, and coordinate work of outside attorneys on legal issues relating to transactional legal matters.
- Oversee legal transactional matters, including drafting, reviewing, editing, and negotiating: (a) contract and grant documents; (b) OFN loan and grant agreements and closing documents; (c) legal documents involving real estate, including lease and licenses; (d) intellectual property and non-disclosure agreements, and (e) corporate organizational documents.
- Provide advice and counsel on other legal transactional matters.
- Help ensure that all contracts and agreements comply with legal requirements and OFN policies and protect OFN’s interests.
- Help ensure compliance with applicable laws, regulations, and industry standards, including those related to CDFIs, financial services, nonprofit organizations, and tax-exempt entities.
- Perform such other duties as the General Counsel may direct.
Requirements
Qualifications
- Juris Doctor (JD) degree from an accredited law school and active membership in good standing with a state bar.
- Minimum of 3-5 years of relevant legal experience, with a focus on transactional matters for financial services companies, community development, and/or nonprofit organizations, with a strong preference for experience in a CDFI or an organization serving CDFIs.
- Familiarity with CDFI ecosystem, including relevant public, corporate, nonprofit, and philanthropic sector funders and investors.
- Knowledge of federal and state laws and regulations relevant to legal transactional issues facing CDFIs and nonprofit organizations.
- Demonstrated effective service in roles handling and sharing sensitive information required.
- Successful track record working in fast-paced workplace, and ability to help build a start-up legal function.

Work Environment
- Standard physical requirements for an office position, with limited travel (<5% of time).
Compensation and Benefits
The target salary range for this position is $152,300 – $190,500. The salary offered will depend on internal pay equity and the candidate’s relevant skills, experience, qualifications, and job market data. Exceptional performers in this role who make an outsized contribution can make well in excess of this range.
