Summary
This position reports to the President & CEO and provides legal support for the daily operations of our business, including lending and development of multifamily apartments, and general corporate matters. The In-house Counsel will support the wide variety of legal needs that arise, including real estate transactions, title and survey review, loan transactions, contracts review, policies and procedures, internal reporting, and regulatory compliance. This position will also be responsible for reviewing, negotiating, and drafting real estate transaction documents, financing documents, construction contracts, and day-to-day contracts, as well as managing real estate transactions and general corporate matters. The ability to provide legal advice and counseling to internal clients, balance legal and business risks, and demonstrate sound judgment is essential.
In addition, the In-House General Counsel will be based in our Culver City, CA headquarters. We offer an optional hybrid working model (in-office for three days and remote for two days).
Responsibilities
- Provide accurate legal guidance to the executive staff and Board on all matters that affect the company.
- Ensure that the company is in compliance with all current business process laws.
- Attend executive-level meetings related to the future direction of the company and changes in policy.
- Ensure that the company complies with all current business process laws.
- Draft, review, and negotiate real estate transaction documents; Work on real estate transactions, including acquisitions, dispositions, joint ventures, and financing/re-financing matters; Title, survey, and zoning review; Ability to manage transaction closings.
- Draft, review, and negotiate construction contracts and construction management agreements.
- Draft, review, and negotiate loan-related documents.
- Draft, review, negotiate, and advise business teams (operations, real estate acquisitions, project management/development, construction, marketing) concerning a wide range of commercial agreements, including residency agreements, management agreements, complex services contracts, vendor agreements/renewals, construction contracts, staffing arrangements, non-disclosure/confidentiality agreements, HIPAA documentation/business associate agreements, insurance provisions, and other commercial agreements.
- Transactional work managing the legal technicalities of initial public offerings, secondary offerings, mergers and acquisitions, and private sale of securities, issuances of stock, or other securities used to finance business is preferred.
- Prepare and review letters of intent and term sheets for various transactions; Prepare legal summaries and abstracts; Analyze, assess, and advise on legal topics and contract interpretation.
- Extensive experience with 4% and 9% tax credit deals, especially in regards to the financial interests and legal obligations of all parties in the tax credit ownership structure; multifamily developments to be financed in the future by take-out lenders with their proposed LIHTC, HUD, HAP/Section 8, tax-exempt bonds, FHA, and Fannie/Freddie financing.
- Communicate complex topics by creating understandable legal training, guides, and support for colleagues on topics such as tax credits. HIPAA, privacy including CCPA/CPRA, anti-kickback, and antitrust.
- Develop relationships with various business divisions and develop an understanding of their strategies and objectives to better serve their needs. Work
- closely with various departments, including acquisitions, operations, marketing, and IT.
- Ensure that Company form agreements and templates are up to date and improve upon standard form agreements and legal processes.
- Stay informed of applicable laws, regulations, and industry guidance that may impact the business.
- Responsible for managing the formation and maintenance of corporate entities and an organizational chart of all the organization’s entities; Draft corporate resolutions and written consents.
- Proactively assist with departmental initiatives, including the redesign of legal support processes, contract templates, and the use of technologies to increase efficiencies.
- Develops the annual financial budget for the Legal Division and follows through to get the necessary approval(s) of the annual financial budget for the Legal Division.
Requirements
Qualifications:
- 7+ years of experience working at a law firm or in-house legal department, specializing in real estate transactions.
- Juris Doctorate from an ABA-accredited law school with California bar admission, and a strong academic record
- Proficient in computer-related skills (including Word, Excel, PowerPoint)
- A demonstrated track record of being a proactive advisor and partner with the business teams.
- Comfortable in a fast-paced environment that requires rapid turnaround on an array of high-priority needs.
- Good business judgment and excellent writing skills
- Ability to provide practical, solution-oriented counsel in a fast-paced environment.
- Ability to work with all staff and treat them as valued in-house clients
- Flexibility and willingness to handle matters outside areas of expertise when required.
- Attention to detail and accuracy; Highly organized and efficient; Positive attitude.
- Takes independent actions and calculated risks; Asks for and offers help when needed.
Compensation and Benefits
- Salary $185,000 – $240,000 /Year, benefits include fully paid medical (HMO), dental, vision, flexible spending account, retirement plan with match, paid life insurance, up to 12 paid holidays, and paid time off. Paid license fees and professional development available.
Work Location: Culver City, CA 90230
- Hybrid schedule, Monday – Friday (in-office three days and remote two days) Must be in the office on Tuesday.
